Misha has substantial experience advising clients on net-asset-value loan facilities, subscription/capital call loan facilities, hybrid and umbrella financings for funds and other secured and unsecured lending transactions. Advised the first vintage of a new private closed-end fund, negotiating and securing terms of a subscription credit loan facility to finance its investments. The transaction involved substantial structuring advice.

Represented a private equity fund as a lender to a company purchasing assets in a Section 363 bankruptcy sale, negotiating the loan transaction, which included another senior facility and an intercreditor agreement.
