Michael D. Jiang

Michael Jiang is a member of the Investment Services group.

He advises registered investment companies and their investment advisers, independent directors and boards on matters arising under the federal securities laws, including fund formation and maintenance, board governance, evolving regulatory requirements and contractual and operational issues.

Michael helps clients with the filing and maintaining of fund offering and organizational documents and other required disclosures, the preparation of board meeting materials, including 15(c) reporting, the review and negotiation of fund agreements and the coordination of key service providers to support fund operations and oversight. Additionally, Michael advises boards and independent directors on their fiduciary duties. Prior to returning to private practice, Michael held multiple senior in-house legal roles in the investment management industry. Most recently, he was associate general counsel and head of fund governance for an asset manager where he led all legal and governance matters pertaining to the firm’s proprietary fund complex. Michael began his career in the investment management group of another large law firm.
