Asia-Pacific Deal of the Year: The Hongkong and Shanghai Banking Corporation Limited (HSBC) SLF Commercial Loan
Vedder advised HSBC in connection with a sustainability-linked senior secured financing of a portfolio of 16 Airbus and Boeing aircraft on lease to major U.S. carriers, partially refinancing the acquisition costs of the aircraft. HSBC acted as Lead Bank, Facility Agent, Sustainability Coordinator and Lender, with HSBC Bank USA, N.A. acting as Security Agent, alongside a syndicate of six other Lenders.
The transaction involved multiple stakeholders across jurisdictions, sustainability-linked elements, tight execution timelines and complex U.S.-style finance leases, requiring careful management of U.S. market restrictions on financiers’ rights. The Vedder team for this transaction included Shareholder Ji Woon Kim, Partner David Paterson and Associates Kris Podkonski and Benjamin Tay.
Supported Financing Deal of the Year: Airbus PDP Financing
Vedder advised Airbus on the pre-delivery payment financing of five A350-1000 aircraft under Philippine Airlines’ order book. The Vedder team acted for Airbus on this transaction. Natixis CIB acted as the sole lead arranger and bookrunner, original lender, agent, and security trustee on the deal.
